Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Sfg Transport Inc., operating as Swift Guard, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms.

• Interfere with or disrupt the integrity or performance of our services
• Transmit any malicious code, viruses, or harmful materials
• Engage in any activity that could damage our reputation or business

Client Responsibilities

When engaging our services, clients are responsible for:

• Providing accurate and complete information necessary for service delivery
• Maintaining the confidentiality of account credentials and access information
• Ensuring compliance with applicable laws and regulations in their jurisdiction
• Timely payment of fees and charges as agreed upon
• Cooperating with our team to facilitate successful project completion
• Maintaining appropriate backups of critical data and systems

Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and documentation, are owned by Swift Guard or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Custom solutions developed specifically for clients may be subject to separate intellectual property agreements as outlined in individual service contracts.

Service Agreements and Contracts

Specific services provided by Swift Guard are governed by individual service agreements or statements of work. These agreements will detail:

• Scope of services and deliverables
• Project timelines and milestones
• Pricing, payment terms, and conditions
• Confidentiality and data protection obligations
• Warranties, limitations, and liability provisions

Fees and Payment

Fees for our services are determined based on project scope, complexity, and resource requirements. Payment terms will be specified in individual service agreements. Clients agree to:

• Pay all fees and charges in accordance with agreed payment terms
• Provide valid payment information and maintain current billing details
• Pay applicable taxes, duties, and other governmental charges

Confidentiality

We recognize the confidential nature of client information and business operations. Swift Guard commits to:

• Maintaining strict confidentiality of client proprietary information
• Implementing appropriate security measures to protect sensitive data
• Using confidential information solely for the purpose of service delivery
• Requiring employees and contractors to adhere to confidentiality obligations

Warranties and Disclaimers

Swift Guard warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated in individual service agreements:

• Services are provided on an as-is and as-available basis
• We do not warrant that services will be uninterrupted or error-free
• We disclaim all implied warranties including merchantability and fitness for a particular purpose
• We do not guarantee specific results or outcomes from our services

Limitation of Liability

To the maximum extent permitted by law, Swift Guard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claims arising from our services shall not exceed the amount paid by the client for the specific services giving rise to the claim.

Indemnification

Clients agree to indemnify and hold harmless Swift Guard, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

• Client's use of our services in violation of these Terms
• Client's violation of applicable laws or regulations
• Client's infringement of third-party intellectual property rights
• Client's negligence or willful misconduct

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service agreement in accordance with the termination provisions specified in the individual contract.

Upon termination, clients remain responsible for all fees and charges incurred prior to termination. We will cooperate in good faith to facilitate an orderly transition of services.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Continued use of our services after changes become effective constitutes acceptance of the modified Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations are unsuccessful
• Binding arbitration or litigation in the courts of Ontario, Canada

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and Swift Guard regarding the use of our services and supersede all prior agreements and understandings.
